Our People — Workforce at the Heart of the Platform

Subject to completion of the Company’s proposed acquisition and consolidation program, Terra Firma Equity Limited (ACN 675 999 747) (the Company) expects to employ more than 3,000 personnel nationally across Australia.

The anticipated workforce spans the protein value chain and includes:

  • Primary and secondary processing teams

  • Skilled production operators and maintenance personnel

  • Food technologists and product development specialists

  • Quality assurance, food safety and regulatory compliance professionals

  • Cold-chain, logistics and supply chain specialists

  • Domestic and export sales personnel

  • Corporate functions including finance, governance, technology and systems

Operational performance and customer supply reliability are supported by the capability and experience of these teams. Workforce capability underpins safe food production, regulatory compliance and export accreditation across retail, foodservice, manufacturing and export markets.

All workforce projections are subject to completion of proposed transactions and integration outcomes.

Management Continuity & Operating Partnership Model

Terra Firma positions itself as a long-term capital owner and operating platform participant.

The Company’s acquisition strategy is not predicated on wholesale replacement of effective management teams. Instead, subject to transaction documentation, Terra Firma intends to partner with existing operators to support integration, scale and governance enhancement.

Operational leadership is expected to remain embedded at facility level to support continuity of workforce relationships and operating culture, while corporate governance, reporting and systems are progressively aligned with institutional and public-market expectations.

There can be no assurance that proposed transactions will complete or that anticipated integration outcomes will be achieved.

Board Renewal & Composition (ASX Target State)

In preparation for a potential listing on the Australian Securities Exchange (ASX), currently targeted for the financial year ending 2028, the Company intends to progressively transition to a Board structure aligned with the ASX Corporate Governance Principles and Recommendations (4th Edition).

Subject to listing and regulatory approval, the post-listing Board is expected to comprise:

  • An independent Chair

  • A majority of independent Non-Executive Directors

  • Executive representation, including the Chief Executive Officer

  • Formally constituted Board Committees

Board appointments will seek to balance experience across agribusiness, processing operations, listed-company governance, capital markets, audit and risk oversight.

Any listing remains subject to regulatory approvals, market conditions and Board discretion.

Pre-IPO Capital Partners & Vendor Director Appointment Rights

As part of the Company’s pre-IPO capital program, certain capital providers and/or proposed vendors participating in equity consideration arrangements may, subject to definitive agreements, have rights to nominate Non-Executive Directors.

The Company anticipates that up to four (4) Non-Executive Directors may be appointed pursuant to such arrangements, subject to:

  • Board and shareholder approvals where required

  • Compliance with the Corporations Act 2001 (Cth)

  • ASX Listing Rules (if and when applicable)

  • Independence and conflicts assessment

  • Governance and committee composition requirements

No appointment rights are effective unless and until formal documentation is executed and all regulatory requirements are satisfied.

Governance & Risk Oversight

The Board is responsible for the Company’s strategic direction, governance and risk oversight.

The Company has adopted governance frameworks aligned with the ASX Corporate Governance Principles and Recommendations (4th Edition) and scaled appropriately for a pre-IPO operating group.

These frameworks include:

  • Delegations of Authority

  • Enterprise Risk Management framework

  • Internal control systems

  • Continuous disclosure protocols (to be fully implemented upon listing)

  • Securities Trading Policy

  • Whistleblower and Code of Conduct policies

Management is responsible for executing strategy within Board-approved parameters and reporting material risks to the Board.

Risk Management Framework

The Company applies a Three Lines of Defence model:

First Line: Operational management
Second Line: Oversight functions (Finance, Risk, Compliance, Quality, Safety, IT)
Third Line: Independent internal audit and assurance reporting to the Audit Committee

Principal risks include, without limitation:

  • Acquisition and integration execution

  • Leverage and refinancing risk

  • Commodity price volatility

  • Food safety and regulatory compliance

  • Export market access

  • Workforce and industrial relations

  • Operational continuity

  • Cyber and systems risk

  • ESG and regulatory risk

  • Listing readiness and disclosure obligations

Risk registers are maintained at site and Group level and reviewed through formal governance cadence.

Disclosure & Listing Readiness

In anticipation of a potential ASX listing, the Company intends to adopt formal continuous disclosure controls and market communication procedures.

There can be no assurance that the Company will proceed with, or successfully complete, a listing on the ASX.
